Digital Product License Agreement

This Digital Product License Agreement explains how customers may use digital products purchased or downloaded from TooUps.

This licence applies to templates, AI prompts, prompt collections, Claude skills, automation resources, design assets, digital guides, e-books, checklists, workbooks, spreadsheets, code files, scripts and other downloadable or electronically delivered products available through TooUps.

By purchasing, downloading, accessing or using a TooUps digital product, you agree to follow this Digital Product License Agreement, our Terms and Conditions, Privacy Policy, Refund Policy and any product-specific licence displayed on the relevant product page.

1. Digital Product Licence

When you purchase a digital product from TooUps, you are purchasing permission to use that product under the applicable licence.

You are not purchasing ownership of the original digital product, copyright, trademark, source material or other intellectual property rights.

Unless a product page clearly states otherwise, TooUps grants you a:

  • Limited licence
  • Non-exclusive licence
  • Non-transferable licence
  • Revocable licence
  • Single-user licence

This means that other customers may purchase and use the same or similar digital product.

2. Products Covered by This Licence

This licence may apply to:

  • Digital templates & Canva templates
  • Social media templates & Website templates
  • Presentation, business and marketing templates
  • AI prompts, prompt bundles and prompt libraries
  • Claude skills, AI workflows and automation resources
  • Digital guides, e-books, checklists, workbooks and planners
  • Spreadsheets, documents and design assets
  • Code files, scripts and educational resources
  • Downloadable tools and other digital files

The specific licence included with a product may be shown on its product page, checkout page, download folder or licence file.

3. Default Licence

Unless a product page clearly provides different terms, each purchase includes a Single-User Commercial Licence.

Under this default licence, one individual may use the purchased product for:

  • Personal projects
  • Internal business projects
  • Marketing activities
  • Content creation
  • Client services & freelance work
  • Agency work
  • Educational purposes
  • Productivity and workflow improvement

The original product file, editable source file, prompt collection, Claude skill or downloadable resource must not be shared, transferred, resold or distributed. You may use the product to create permitted final work, but you may not sell or distribute the original or editable TooUps product itself.

4. Single-User Licence

A Single-User Licence allows one individual purchaser to access and use the product on personally controlled devices (Personal computer, Work computer, Laptop, Tablet, Mobile device).

The licence does not allow the purchaser to provide product access to employees, business partners, freelancers, contractors, agency team members, clients, friends, family members, students, or community members. Every additional user must purchase a separate licence unless a Team Licence, Agency Licence or Extended Licence has been purchased.

5. Personal Use

You may use a TooUps digital product for personal planning, social media content, educational practice, personal design projects, personal AI workflows, learning, and private productivity. Personal use does not allow you to resell, redistribute or publicly share the original product files.

6. Commercial Use

Commercial use may be allowed under the default Single-User Commercial Licence or another commercial licence shown on the product page. Commercial use is only permitted when the customer creates a final result that does not expose, include or redistribute the original TooUps source material.

Examples of permitted final results include:

  • A completed social media design
  • An exported PDF document or business presentation
  • A published article or marketing campaign
  • A completed customer report
  • AI-generated content reviewed and edited by the customer
  • A configured internal workflow or finished website design
  • A completed client deliverable

7. Client Projects

A licensed customer may use certain TooUps products to create final work for clients. When using a product for client work:

  • The customer must create a finished or customized result
  • The original source product must not be transferred to the client
  • The client must not receive reusable access to the TooUps product
  • The client must not resell or redistribute the product
  • The customer remains responsible for licence compliance

You may provide a client with an exported, completed or flattened final result (e.g. exported image), but you may not provide the original reusable template file unless separately permitted.

8. Team and Agency Use

The standard Single-User Licence does not allow shared access between multiple team members. Businesses and agencies requiring multiple users must acquire a Team Licence, Agency Licence, Multi-User Licence, or Enterprise Licence covering the permitted number of seats.

9. Extended Licence

An Extended Licence provides additional distribution rights specifically described on the product page. An Extended Licence does not transfer copyright ownership and does not allow uploading the raw product to public marketplaces or creating competing products.

10. AI Prompts and Prompt Bundles

AI prompts and prompt bundles may be used privately, edited for your workflow, and used to generate content for client work. You may not resell individual prompts, publish prompt libraries publicly, share them in communities, or copy wording to build competing prompt packs.

11. Claude Skills and AI Workflows

Claude skills and workflows may be installed for your licensed internal business use. You may not resell the Claude skill, share installation files, publish configurations publicly, or upload skills to public repositories.

12. Templates and Design Assets

Templates and design assets may be customized (text, colours, images, layouts) and exported. You must not resell editable templates, share editable source files, or claim original authorship.

13. E-books, Guides and Educational Resources

You may read, print reasonable copies for personal use, and apply the knowledge to your business. You may not republish, resell, record as courses, translate for resale, or distribute copies without permission.

14. Code, Scripts and Automation Files

You may install and modify code for permitted projects and internal workflows. You may not resell source code as a standalone product, share private keys/APIs, or remove copyright notices.

15. Spreadsheets, Documents and Business Resources

Spreadsheets and planners may be customized for internal use or client delivery. You may not distribute editable master spreadsheets on template marketplaces or digital bundles.

16. Finished End Products

A permitted end product must include meaningful customization, serve a specific purpose, and prevent recipients from extracting or reusing the underlying TooUps source files.

17. Prohibited Redistribution

You must not email files, share private links, upload to public Google Drive/Dropbox/Telegram channels, post on social media groups, or add products to membership platforms.

18. Resale and Competing Products

You must not rebrand, translate, bundle, or copy TooUps prompt structures, template layouts, or workflows to sell near-identical competing products.

19. No Private Label or Resale Rights

Unless specifically advertised as including Private Label Rights (PLR) or Master Resale Rights (MRR), no such rights are granted.

20. Third-Party Elements

Third-party fonts, stock photos, APIs, and plugins remain subject to their respective creators’ licences. Users are responsible for obtaining appropriate third-party subscriptions.

21. Third-Party Trademarks

Brands such as Claude, Anthropic, ChatGPT, OpenAI, and Canva belong to their owners. References are strictly for compatibility and descriptive purposes.

22. AI-Generated Output

TooUps does not guarantee that AI-generated output will be error-free or unique. You are responsible for reviewing, fact-checking, and ensuring legal compliance before publication.

23. Confidential and Sensitive Information

Do not enter passwords, API keys, banking information, or confidential trade secrets into AI prompts or shared files.

24. Ownership of Customer Content

You retain ownership of original text, logos, and photos that you add to a TooUps product. TooUps retains ownership of all underlying templates, code, prompts, and frameworks.

25. Product-Specific Licence

Where a product-specific licence is supplied on a product page, its terms supersede this general agreement in the event of any direct conflict.

26. Licence Upgrades

Customers may upgrade from Single-User to Team, Agency, or Commercial Licences by paying applicable licence differences.

27. Licence Duration

Licences remain active so long as terms are respected and products were obtained legitimately without unauthorized chargebacks.

28. Product Updates

Purchases do not automatically include indefinite lifetime updates unless explicitly stated on the product page.

29. Licence Violation

Violations include unauthorized file sharing, resale, public uploads, or scraping. TooUps investigates violations using download and access records.

30. Licence Termination

TooUps may immediately terminate licences upon breach of this agreement. Upon termination, all active usage and distribution of source files must cease immediately.

31. Reporting Unauthorized Use

Suspected copyright violations or illegal distribution of TooUps assets may be reported to info@tooups.com with supporting evidence.

32. Licence Changes

TooUps may update this agreement periodically with a revised date without diminishing rights already granted for past valid purchases.

33. No Transfer of Licence

Licences cannot be gifted, transferred, or sub-licensed without express written consent from TooUps.

34. Governing Terms

This agreement forms part of the TooUps Terms and Conditions and should be read alongside our Privacy Policy and Refund Policy.
